Service Agreement

1. Services

The Provider shall provide the following services (the "Services"): [description of services].

2. Term

The Services commence on [Start Date] and continue until [End Date] unless terminated earlier in accordance with this Agreement.

3. Fees & Payment

In consideration of the Services, the Client shall pay the Provider [fees]. Payment terms: [Net 14 days from invoice]. Late amounts may accrue interest at the statutory rate.

4. Client Responsibilities

The Client shall provide timely access to information, materials, approvals and personnel reasonably required for the Provider to perform the Services.

5. Intellectual Property

Unless otherwise agreed in writing, on full payment the Provider assigns to the Client the intellectual property rights in the deliverables created specifically for the Client, excluding the Provider's pre-existing materials and tools, which are licensed to the Client for use with the deliverables.

6. Confidentiality

Each Party shall keep confidential the other's non-public information and use it only to perform or receive the Services.

7. Limitation of Liability

Neither Party is liable for indirect or consequential loss. Each Party's total liability under this Agreement is limited to the total fees paid or payable in the twelve months preceding the claim, except for liability that cannot be limited by law.

8. Termination

Either Party may terminate this Agreement on 30 days' written notice, or immediately if the other Party materially breaches and fails to remedy the breach within 14 days of written notice. The Client shall pay for Services performed up to termination.

9. Governing Law

This Agreement is governed by the laws of [Governing Law].
